Terms of Service

1. Scope and business use

These Terms govern access to lab.simwide.com and the business-to-business services presented under the SIMWIDE Lab name by WIDE di D. Papa. The service is intended for businesses, professionals, research bodies, institutions and other organisations acting for professional purposes, not for consumer use.

2. Website and contact form

The site provides information, indicative starting prices and a contact form. Submitting the form creates an enquiry only. It does not create a project contract, require either party to proceed or constitute acceptance of a paid engagement. A project begins only when the applicable scope and quote have been accepted separately in writing.

The contact form must not be used to submit source datasets, confidential project files, special-category personal data or information relating to identifiable minors. Project material is requested through a separately agreed transfer method after initial review.

3. Project scope and quote

Each engagement is governed by an accepted quote or written project agreement identifying the objective, source material, target model, deliverables, acceptance criteria, included corrections, timetable, price and any infrastructure or data-protection requirements. Website tiers are starting points and do not replace the accepted project scope.

4. Client material and warranties

The client represents and warrants that it controls, owns or is otherwise legally entitled to provide all source material submitted for the project and holds every permission, licence, consent and legal basis necessary for the agreed processing.

The client remains responsible for the origin and selection of the submitted material, the declared intended purpose of the deliverable and its subsequent deployment. SIMWIDE Lab may request clarification, refuse or suspend processing where the declared rights, legal basis or intended use are insufficient, unclear or inconsistent with applicable law or the accepted scope.

To the extent permitted by applicable law, the client is responsible for claims, losses or costs arising from material supplied without the necessary rights or legal basis, except to the extent caused by processing that SIMWIDE Lab performs outside the client's documented instructions or the agreed scope.

5. Sensitive, biomedical and minors' data

The standard workflow does not accept directly identifiable personal data relating to minors or identifiable health, genetic or biometric data. Anonymised scientific or biomedical material may be accepted where the client confirms in writing that effective anonymisation occurred before transfer, re-identification is not reasonably possible using the supplied material, and all required rights and approvals are in place.

SIMWIDE Lab provides technical dataset and model-adaptation services; it does not determine the scientific validity, clinical suitability or regulatory authorisation of the client's research, system or intended use.

6. Local and external compute

Work is processed on local infrastructure where practical. Where the agreed model, workload or timetable requires additional CPU, GPU, storage or secure-transfer capacity, SIMWIDE Lab may use an occasional infrastructure provider located in the European Economic Area. The relevant requirement is identified in the project scope and is subject to appropriate confidentiality, security and data-protection terms.

7. Technical role and AI Act

Unless expressly agreed otherwise in writing, SIMWIDE Lab acts as a project-specific technical contractor. It does not deploy the deliverable for end users, provide public inference, operate it in production or place it on the market or put it into service under the SIMWIDE Lab name. The client determines the intended purpose, deployment context and subsequent use of the deliverable.

Regulatory roles and obligations under Regulation (EU) 2024/1689 (the AI Act) and other applicable law depend on the actual project, intended purpose and deployment. They are not altered merely by labels in these Terms. Each party remains responsible for obligations legally applicable to its actual role. SIMWIDE Lab does not knowingly support prohibited AI practices and may decline or discontinue an engagement reasonably believed to involve an unlawful use.

8. Evaluation, private validation and acceptance

SIMWIDE Lab performs internal evaluation during training. Before final delivery, the client is entitled to one private validation session of up to 30 minutes. During that session, SIMWIDE Lab may run temporary inference using the model or adapter prepared exclusively for that client and the agreed test conditions. This is a pre-delivery acceptance activity, not public deployment, production hosting or an ongoing inference service.

Up to three corrections are included where the client identifies a material, demonstrable difference between the result and the objective or acceptance criteria recorded in the original scope. A correction request must explain that difference. Subjective preference changes, new concepts, new source material, new intended uses or requirements not included in the original scope are change requests and may require a separate quote.

9. Payment and delivery

Following successful validation and acceptance, any outstanding balance becomes due. The final LoRA, adapter, model files, documentation and other deliverables expressly listed in the accepted scope are transferred after cleared payment. SIMWIDE Lab does not retain or host a production copy for the client after the retention period.

10. Retention, deletion and extended storage

Client source material, working copies, prepared datasets, checkpoints, validation outputs and final deliverables may be retained during the active project and for 30 days after delivery. At expiry, material under SIMWIDE Lab's control is scheduled for automatic deletion, including operational backup copies.

Deletion may be suspended only where the client has purchased extended retention, where preservation is required by a binding order from a court or authority with lawful jurisdiction over the data, or where material is necessary for an existing legal claim.

Extended retention is a separately priced storage service. Retained material is isolated from active production workflows and is not used for training, evaluation, inference, research, benchmarking or work for another client. It may be accessed only to maintain security and integrity, comply with a binding legal requirement or act on the client's documented instructions.

11. Intellectual property and deliverables

The client retains all rights it holds in the original source material. Following full payment, the client receives the custom LoRA, adapter, model files and other deliverables expressly identified in the accepted project scope, subject to any third-party or base-model licence that applies.

A training dataset created or substantially reconstructed by SIMWIDE Lab is not included unless expressly identified as a deliverable. Delivery of that dataset, including its structure, captions, annotations or preparation artefacts, requires separate pricing and written agreement. A dataset supplied by the client remains the client's material.

SIMWIDE Lab retains all rights in its pre-existing and general-purpose tools, scripts, workflows, evaluation procedures, technical methods, know-how and trade secrets. Delivery of a project result does not transfer those methods. Base models and third-party software remain subject to their respective licences.

12. Confidentiality and security

SIMWIDE Lab treats non-public project material as confidential and applies reasonable technical and organisational safeguards appropriate to the agreed scope. The client must use the agreed transfer method and must not send project datasets through the public contact form. No system can be guaranteed absolutely secure; project-specific security requirements must be agreed in writing before transfer.

13. Prices, taxes and changes of scope

Published prices are B2B starting prices, exclude VAT and applicable taxes, and apply to standard scope and compute requirements. Additional dataset work, compute-intensive models, external infrastructure, extended retention, additional documentation and changes of scope are quoted separately.

14. Site content and third-party links

Site text, design, graphics, code, product names and the WIDE logo belong to WIDE di D. Papa or their respective rights holders and may not be reproduced without authorisation. Links to independent external websites are provided for convenience; WIDE di D. Papa is not responsible for their content, availability or privacy practices.

15. Disclaimer and limitation of liability

The public site is provided on an "as is" basis. Project performance obligations are limited to the accepted scope and acceptance criteria. SIMWIDE Lab does not warrant fitness for an undeclared use, regulatory approval, clinical suitability or performance outside the agreed model, inputs and test conditions.

To the extent permitted by applicable law, WIDE di D. Papa is not liable for indirect, incidental, special or consequential loss, loss of profit, loss of opportunity or business interruption arising from site use or a client's deployment of a deliverable. Nothing in these Terms excludes liability that cannot lawfully be excluded or liability arising from fraud or wilful misconduct.

16. Changes to these Terms

These Terms may be updated for future site use and future enquiries. The revision date above identifies the current version. Changes do not alter an already accepted project scope unless agreed separately in writing.

17. Governing law and jurisdiction

These Terms and B2B engagements are governed by Italian law. Unless a written project agreement states otherwise, disputes are subject to the exclusive jurisdiction of the courts of Naples, Italy.
